GMEX Robotics Corporation (Nasdaq: GMEX) announced a definitive share purchase agreement with Alpha Meta AI Pte. Ltd., MetaGen AI Limited and other parties to acquire a 30% fully diluted equity interest in the Issuer, which conducts its Media Meta business through mediameta.ai. The purchase consideration consists of cash and GMEX common shares. The Issuer agreed to a make good provision to achieve more than USD $52.6 million in revenues over the next five years from closing, with GMEX entitled to an adjustment or partial refund if the target is not met. GMEX also obtained a perpetual, exclusive, fully paid-up and royalty-free technology license covering specified intellectual property, software, AI systems, models and robotics-related data. The transaction remains subject to closing conditions, including completion of due diligence and receipt of approvals. MediaMeta focuses on social-intelligence AI and human-behavioral modeling, which GMEX believes may complement its development of AI-powered robotics for consumer, hospitality, healthcare, assisted-living, education, retail and other environments.
